1. Definitions and applicability
These terms apply to all offers and agreements from Straven, unless agreed otherwise in writing.
2. Offers and formation
Offers are valid for 30 days. An agreement is formed after written acceptance by both parties.
3. What we deliver
The description of the service, the definition of a qualified lead or meeting and the agreed volumes are set per agreement. These definitions govern how results are assessed.
4. Client cooperation
Results require timely follow-up of meetings, access to the necessary systems and the supply of information. Without that cooperation, agreed results cannot be guaranteed.
5. Fees and payment
Rates, any performance-based component and the payment term of 14 days are set per agreement. All amounts are exclusive of VAT.
6. Term and termination
Agreements have no minimum term and can be terminated monthly, effective at the end of the month.
7. Liability
Our liability is limited to the amount invoiced in the relevant period. We are not liable for indirect damages or lost profit.
8. Confidentiality and data
Both parties treat business information as confidential. The privacy statement applies to the processing of personal data.
9. Force majeure
In the event of force majeure, obligations are suspended for as long as the situation lasts. If it lasts longer than sixty days, either party may terminate the agreement in writing without compensation. Force majeure includes outages of advertising platforms, hosting or other third-party services we depend on.
10. Intellectual property
Campaigns, copy, landing pages and reports we produce remain our property until everything invoiced for them has been paid. After that you receive a licence to use them within your own business. The method, the model and the software behind the portal remain ours. Data you supply and leads we generate for you are and remain yours.
11. Changes to these terms
We may amend these terms. Under a running agreement we give at least thirty days’ notice of any change. If you do not agree, you may terminate the agreement as of the date the change takes effect.
12. Governing law
These terms are governed by Dutch law. Disputes are submitted to the competent court in Amsterdam, the Netherlands.
